Agreement to Terms
By accessing or using the Xplooria mobile application (the "App"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the App.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the App after changes are posted constitutes your acceptance of the modified Terms.
IMPORTANT: THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 18). PLEASE READ SECTION 18 CAREFULLY.
1. Definitions
- "App" refers to the Xplooria mobile application and all associated services.
- "We," "us," "our" refers to Xplooria and its affiliates, officers, directors, and employees.
- "You," "your," "user" refers to the individual accessing or using the App.
- "Content" refers to text, images, reviews, posts, comments, and any other material submitted to the App.
- "Services" refers to all features, functionality, and services provided through the App.
- "Account" refers to your registered user account on the App.
2. Eligibility and Account Registration
2.1 Age Requirements
You must be at least:
- 13 years of age to use the App (or 16 in the European Union)
- 18 years of age to make purchases or enter into legally binding contracts through the App
By using the App, you represent and warrant that you meet these age requirements.
2.2 Parental Consent
If you are between 13 and 18 years old (a "Minor"), you must have your parent or legal guardian's permission to use the App. By using the App as a Minor, you represent that your parent or guardian has reviewed and agreed to these Terms.
2.3 Account Creation
To access certain features, you must create an account by providing:
- Valid email address
- Secure password
- Display name/username
- Date of birth (for age verification)
You may also register using:
- Google Sign-In
- Apple Sign-In
2.4 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using a strong, unique password
We are not liable for any loss or damage arising from your failure to protect your account credentials.
2.5 Account Accuracy
You agree to:
- Provide accurate, current, and complete information
- Update your information promptly when it changes
- Not impersonate any person or entity
- Not use another person's account without permission
2.6 One Account Per User
You may only create and maintain one account. Creating multiple accounts for fraudulent purposes or to circumvent restrictions is prohibited.
3. License and Access
3.1 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:
- Download and install the App on your personal device
- Access and use the App for personal, non-commercial purposes
3.2 Restrictions
You may NOT:
- Modify, reverse engineer, decompile, or disassemble the App
- Remove, alter, or obscure any proprietary notices
- Use the App for any commercial purpose without our written permission
- Rent, lease, sell, sublicense, or transfer the App to any third party
- Use the App in any way that violates applicable laws or regulations
- Access the App through automated means (bots, scrapers, crawlers)
- Interfere with or disrupt the integrity or performance of the App
- Attempt to gain unauthorized access to our systems or networks
3.3 Updates and Modifications
We may:
- Update, modify, or discontinue the App or any feature at any time without notice
- Require you to update to the latest version of the App
- Change pricing, features, or functionality
Your continued use after modifications constitutes acceptance of the changes.
3.4 Third-Party Platforms
The App is available through third-party platforms (Apple App Store, Google Play Store). You must comply with their respective terms and conditions in addition to these Terms.
4. User Content
4.1 Content You Submit
You may submit content to the App, including:
- Place submissions (names, descriptions, photos, GPS coordinates)
- Reviews and ratings
- Community posts and comments
- Bucket list items
- Reports and feedback
4.2 Content Ownership
You retain ownership of the content you submit. However, by submitting content, you grant us a:
- Worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display your content in connection with operating, promoting, and improving the App.
4.3 Content Representations
By submitting content, you represent and warrant that:
- You own or have the necessary rights to submit the content
- The content does not violate any laws or third-party rights
- The content is accurate and not misleading
- The content does not contain viruses, malware, or harmful code
- You have obtained all necessary permissions and consents (e.g., for photos of people or private property)
4.4 Content Standards
Your content must NOT:
- Contain false, misleading, or inaccurate information
- Violate any laws, regulations, or third-party rights
- Infringe on intellectual property rights (copyright, trademark, etc.)
- Contain hate speech, harassment, threats, or discriminatory content
- Include obscene, pornographic, or sexually explicit material
- Promote violence, illegal activities, or harmful conduct
- Contain spam, advertising, or promotional material (unless authorized)
- Include personal information of others without consent
- Impersonate any person or entity
- Contain viruses, malware, or malicious code
4.5 Content Moderation
We reserve the right to:
- Review, monitor, and moderate all user content
- Remove, edit, or refuse to post any content at our sole discretion
- Suspend or terminate accounts for violations
- Cooperate with law enforcement regarding illegal content
We are not obligated to pre-screen content but may do so at our discretion.
4.6 Content Removal
You can delete your own content through the App. However:
- Some content may remain in backup copies for a limited period
- Anonymized or aggregated data may be retained
- Content may be retained where required by law or for dispute resolution
4.7 User Interactions
You are solely responsible for your interactions with other users. We are not responsible for:
- The conduct of other users
- Content submitted by other users
- Disputes between users
- Any harm or damage resulting from user interactions
5. Prohibited Activities
You agree NOT to:
5.1 Illegal Activities
- Violate any local, state, national, or international laws
- Engage in fraud, money laundering, or other illegal conduct
- Promote or facilitate illegal activities
5.2 Harassment and Abuse
- Harass, threaten, bully, or intimidate other users
- Engage in hate speech or discriminatory conduct
- Stalk or dox other users
- Send unsolicited or unwanted communications (spam)
5.3 Security Violations
- Hack, exploit, or circumvent security measures
- Use scripts, bots, or automated tools without permission
- Reverse engineer or decompile the App
- Attempt to gain unauthorized access to accounts or systems
- Introduce viruses, malware, or harmful code
5.4 Content Violations
- Submit false, misleading, or fraudulent content
- Copy or scrape content from the App
- Use content for commercial purposes without permission
- Infringe on intellectual property rights
5.5 System Abuse
- Overload or disrupt our servers or networks
- Interfere with other users' access or enjoyment
- Exploit bugs or glitches for advantage
- Create multiple accounts to manipulate rankings or rewards
5.6 Commercial Misuse
- Use the App for unauthorized commercial purposes
- Advertise or promote products/services without permission
- Sell or transfer your account
- Resell or redistribute App content
6. Gamification and Rewards
6.1 Experience Points (XP) and Levels
Users earn XP through various activities:
- Submitting new places
- Writing reviews
- Participating in challenges
- Engaging with community features
XP determines your user level and unlocks badges and achievements.
6.2 Contribution Challenges
Users may participate in contribution challenges to:
- Earn additional points
- Compete on leaderboards
- Win prizes or recognition
Challenge rules are specified for each individual challenge.
6.3 No Monetary Value
XP, levels, badges, and leaderboard rankings have no monetary value and cannot be:
- Exchanged for cash or goods
- Sold or transferred to other users
- Redeemed outside of the App
6.4 No Guarantee
We do not guarantee:
- Continued availability of gamification features
- Maintenance of your XP, levels, or rankings
- Specific rewards or prizes
6.5 Modification or Termination
We reserve the right to:
- Modify, suspend, or terminate gamification features at any time
- Adjust XP values, levels, or ranking algorithms
- Remove or adjust your XP or level for violations of these Terms
- Cancel or modify challenges without notice
6.6 Fair Play
You agree to:
- Participate honestly and ethically
- Not manipulate rankings or rewards
- Not use multiple accounts or bots to gain unfair advantages
- Not exploit bugs or glitches
Violations may result in forfeiture of rewards and account suspension.
7. Intellectual Property Rights
7.1 Our Ownership
The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, arrangement, and the "look and feel") are owned by Xplooria, its licensors, or other providers of such material and are protected by:
- Copyright laws
- Trademark laws
- Patent laws
- Trade secret laws
- Other intellectual property laws
7.2 Trademarks
"Xplooria" and our logo are trademarks of Xplooria. You may not use these marks without our prior written permission.
7.3 Feedback
If you provide us with feedback, suggestions, or ideas about the App:
- You grant us an unlimited, perpetual, irrevocable license to use such feedback
- We are not obligated to compensate you or credit you
- We may implement, modify, or disregard your feedback at our discretion
7.4 Copyright Infringement
If you believe content on the App infringes your copyright, please contact us at copyright@xplooria.com with:
- Identification of the copyrighted work
- Location of the allegedly infringing material
- Your contact information
- A statement of good faith belief
- A statement of accuracy under penalty of perjury
- Your physical or electronic signature
We will respond to valid DMCA notices in accordance with applicable law.
8. Privacy and Data Protection
8.1 Privacy Policy
Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the App, you consent to our Privacy Policy.
8.2 Data Collection
We collect and process personal information as described in our Privacy Policy, including:
- Account information
- User-generated content
- Location data
- Usage and analytics data
- Device information
8.3 Location Services
Certain features require access to your device's location services. You can control location permissions through your device settings.
8.4 Communications
By creating an account, you consent to receive:

- Any loss or damage caused by third-party services

9.3 No Endorsement
Inclusion of third-party links does not imply endorsement, affiliation, or sponsorship.
10. Disclaimers and Limitations of Liability
10.1 "AS IS" and "AS AVAILABLE"
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
- Security or virus-free operation
10.2 Content Accuracy
We do not:
- Guarantee the accuracy, completeness, or reliability of user-generated content
- Endorse or verify information submitted by users
- Take responsibility for place information, reviews, or ratings
- Warrant that content is up-to-date or current
YOU RELY ON USER-GENERATED CONTENT AT YOUR OWN RISK.
10.3 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, XPLOORIA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
- Personal injury or property damage
- Service interruptions or data loss
- Unauthorized access to your data
- Errors, mistakes, or inaccuracies in content
- User interactions or conduct
This limitation applies regardless of:
- The legal theory (contract, tort, negligence, strict liability, etc.)
- Whether we were advised of the possibility of such damages
- Whether a remedy fails of its essential purpose
10.4 Maximum Liability
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF:
- $100 USD, OR
- The amount you paid us (if any) in the 12 months preceding the claim
10.5 Jurisdictional Limitations
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10.6 Basis of the Bargain
You acknowledge that these limitations are an essential part of the agreement and that we would not provide the App without these limitations.
11. Indemnification
You agree to defend, indemnify, and hold harmless Xplooria and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms
- Your use or misuse of the App
- Your content or submissions
- Your violation of any laws or third-party rights
- Your interactions with other users
- Any unauthorized access to your account resulting from your failure to safeguard your credentials
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense. You agree to cooperate with our defense of such claims.
12. Account Termination and Suspension
12.1 Termination by You
You may terminate your account at any time by:
- Using the "Delete Account" option in app settings
- Contacting us at support@xplooria.com
Upon termination:
- Your access to the App will be revoked
- Your personal information will be deleted (subject to our Privacy Policy)
- User-generated content may be retained in anonymized form
12.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Prolonged inactivity
- Requests by law enforcement or regulatory authorities
- Unexpected technical issues or security concerns
12.3 Effect of Termination
Upon termination:
- Your license to use the App is immediately revoked
- You must cease all use of the App
- You lose access to your account and content
- Sections of these Terms that by their nature should survive (disclaimers, limitations, indemnification) will remain in effect
12.4 No Refunds
We do not provide refunds or credits for unused services or remaining account balances (if any) upon termination.
13. User Disputes
13.1 Disputes Between Users
You are solely responsible for your interactions with other users. If you have a dispute with another user:
- You release us from any claims, demands, or damages arising out of such disputes
- We may (but are not obligated to) intervene or assist in resolving disputes
- We may take action (including account suspension) if disputes violate these Terms
13.2 Release
You hereby release and forever discharge Xplooria and its affiliates from any claims, demands, liabilities, or damages (actual or consequential) of every kind and nature, known and unknown, arising out of or in any way connected with disputes with other users.
14. Changes to Services
14.1 Modifications
We reserve the right to:
- Modify, suspend, or discontinue the App or any feature at any time
- Change pricing, access restrictions, or service levels
- Update technical requirements or system specifications
14.2 No Liability
We shall not be liable for:
- Any modification, suspension, or discontinuance of services
- Loss of data or functionality resulting from updates
- Incompatibility with older devices or operating systems
14.3 Notice
We will attempt to provide reasonable notice of material changes, but are not obligated to do so.
15. Geographic Restrictions
15.1 Availability

If informal resolution fails, the parties agree to engage in good-faith negotiation or mediation before pursuing arbitration or litigation.
18. Arbitration Agreement and Class Action Waiver
18.1 Agreement to Arbitrate
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
You and Xplooria agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the App (collectively, "Disputes") will be resolved through binding individual arbitration rather than in court, except as provided below.
18.2 Arbitration Rules
Arbitration will be conducted by a neutral arbitrator in accordance with the rules of:
- The American Arbitration Association (AAA) Consumer Arbitration Rules, OR
- Another mutually agreed-upon arbitration service

18.3 Exceptions to Arbitration

- No class actions or consolidated proceedings
- No representative actions on behalf of others
- Each party may only bring claims individually
18.5 Arbitration Costs
Each party will bear its own costs for arbitration. If the arbitrator finds that you cannot afford to pay filing fees, we may pay them for you (subject to the arbitrator's rules).
18.6 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to us within 30 days of first accepting these Terms. Send your opt-out notice to:

19. Miscellaneous Provisions
19.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Xplooria regarding the App and supersede all prior agreements, understandings, and representations.
19.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
19.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
19.4 Assignment
You may not assign or transfer your rights or obligations under these Terms. We may assign these Terms to any affiliate or successor without restriction.
19.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated.
19.6 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
19.7 Notices
We may provide notices to you:
- By email to your registered address
- By posting on the App
- Through push notifications
- By other reasonable means
Notices to us must be sent to legal@xplooria.com or our mailing address.
19.8 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
19.9 Language
These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version controls.
20. Apple App Store Additional Terms
If you download the App from the Apple App Store, the following additional terms apply:
20.1 Acknowledgment
You acknowledge that:
- These Terms are between you and Xplooria, not Apple
- Apple is not responsible for the App or its content
- Apple has no obligation to provide maintenance or support
20.2 Scope of License
The license granted is limited to a non-transferable license to use the App on an Apple device that you own or control, as permitted by the Apple App Store Terms of Service.
20.3 Warranty Disclaimer
Apple is not responsible for any warranties, whether express or implied.
20.4 Product Claims
Apple is not responsible for:
- Product liability claims
- Claims that the App fails to conform to legal or regulatory requirements
- Consumer protection or similar legislation claims
20.5 Intellectual Property
If a third party claims the App infringes their intellectual property rights, Apple is not responsible for the investigation, defense, or settlement of such claims.
20.6 Compliance with Terms
You represent that:
- You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
- You are not on any U.S. Government prohibited or restricted parties list
20.7 Third-Party Beneficiary
Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
21. Google Play Store Additional Terms
If you download the App from the Google Play Store, you agree to the Google Play Terms of Service, which are incorporated herein by reference.

23. Acceptance of Terms
By clicking "I Accept," creating an account, or using the App in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must immediately cease using the App and delete it from your device.
